Important: Lobrite Legal is software, not a law firm. It does not provide legal representation, and using it does not create an attorney-client relationship. Self-Help Mode does not choose legal strategy or replace a lawyer.
Arbitration notice: section 18 requires most disputes to be resolved through binding individual arbitration and waives class or representative proceedings, subject to stated exceptions (including small claims and public injunctive relief) and your right to opt out within 30 days.
These Terms of Use (“Terms”) are an agreement between you and Lobrite Legal, LLC (“Lobrite,” “we,” or “us”) about the Lobrite Legal website, desktop application, support, and related services (the “Services”).
1. Acceptance of these Terms
By creating an account, you are entering into a binding agreement with Lobrite Legal under the Terms of Use.
You accept these Terms by checking the box that says “I agree to the Terms of Use and acknowledge the Privacy Policy” when you create an account, when you accept an updated version, or when you start a paid subscription. Lobrite records the version you accepted, when, and where. If you do not agree, do not use the Services. If you use the Services for an organization, you represent that you are authorized to bind it, and “you” includes that organization.
The AI / Legal Disclaimer is part of these Terms.
2. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract. You must give accurate account information, including whether you are a legal professional, keep your credentials secure, and tell us promptly about suspected unauthorized access. You are responsible for activity under your account.
3. Software only: no law firm, no attorney-client relationship
Lobrite Legal is software. Lobrite Legal, LLC is not a law firm, does not practice law, does not represent you or anyone else, and does not owe you the duties a lawyer owes a client. Using the Services, paying for them, or contacting Lobrite support does not create an attorney-client, fiduciary, or other professional relationship.
Lobrite support can help with accounts, billing, installation, technical problems, and how features work. Support cannot advise you about legal strategy, which claim, defense, motion, or form to use, whether you will succeed, which deadline applies, or whether a document is legally sufficient.
Lobrite Legal may be owned, operated, developed, or advised by licensed attorneys. That fact does not mean that a Lobrite user is represented by those attorneys. No attorney-client relationship with any Lobrite owner, employee, contractor, affiliated attorney, or law firm arises from purchasing, accessing, or using the Services. Legal representation exists only if the user and a licensed attorney separately enter into a written engagement agreement.
Attorney services, if any are ever offered by a law firm, are separate from Lobrite Legal software. Use of Lobrite does not create an attorney-client relationship. Representation begins only through a separate written engagement with that firm.
4. Professional Mode and Self-Help Mode
Professional Mode is for attorneys, law firms, supervised legal staff, and in-house legal professionals. It can provide substantive legal analysis, strategy suggestions, recommended next moves, recommended motions, claims and defenses, research, deadline analysis, and drafting. It is designed for legal professionals who remain responsible for professional judgment and final work product.
Self-Help Mode is for people representing themselves. It provides legal information, neutral explanations of procedures and common options, summaries and chronologies of your documents, case organization, and help preparing a document you choose. It does not choose legal strategy for you, recommend which claim, defense, motion, or form to use, or recommend whether to sue, settle, or appeal, and it does not replace a lawyer. A licensed attorney can give advice about your specific situation.
Your mode follows the account type you select. You must not select Professional Mode unless you are a legal professional or work under a legal professional’s supervision. Lobrite may change an account’s mode if the account type appears to be inaccurate.
5. No reliance on AI output
Lobrite is software, not a law firm. Output from AI-assisted features is generated by software, not by a licensed attorney, and no attorney reviews it before you receive it. Output may be inaccurate, incomplete, outdated, fabricated, or unsuitable for your jurisdiction or your facts, and it may be inconsistent with your documents or current law. Similar requests can produce different results. Citations, quotations, rules, and dates can be wrong even when they look authoritative. Do not rely on output as legal advice or as a substitute for your own review.
Every document Lobrite prepares is a draft for review. Lobrite never certifies that a document is legally sufficient, complete, accepted by a court, or ready to file, and marking a review complete in the app records only that you reviewed it.
6. Your review and professional responsibility
You are responsible for reviewing every output before you sign, file, serve, send, or rely on it, and for independently verifying:
- facts, names, dates, and amounts;
- the law and legal authorities;
- citations;
- quotations;
- deadlines;
- procedural requirements;
- filing and service requirements; and
- final documents.
You are responsible for the decisions you make using the Services and for what you sign, file, serve, or send. You are responsible for your own calendar and for independently confirming every statute of limitations, court deadline, and filing and service deadline. Lobrite identifies potential dates for verification; it does not guarantee any deadline, monitor court dockets for you, or act as a filing or service provider.
If you are a legal professional, you remain responsible for your professional judgment, supervision of staff, verification of the work, and compliance with your professional obligations, including duties of competence and confidentiality.
7. Your content
“User Content” means documents, prompts, case information, notes, and other material you submit, and the output generated from it. You keep your rights in User Content. You give Lobrite a limited license to host, copy, transmit, and process User Content only as needed to provide, secure, and support the Services, to comply with law, and to enforce these Terms. Lobrite does not use User Content to train AI models.
You represent that you have the rights, permissions, and client consents needed to submit User Content. Do not submit material you are not permitted to disclose, such as material under a protective order, unless your use is authorized and appropriate.
8. Confidentiality and privilege
Lobrite is designed with confidentiality safeguards, but it cannot guarantee that attorney-client privilege, work-product protection, or other confidentiality protections apply or are preserved. AI-assisted actions send the relevant content to Lobrite’s backend and to its AI service provider, as described in the Privacy Policy and the Subprocessors page.
Attorneys are responsible for deciding whether submitting client information is consistent with their confidentiality duties, protective orders, client instructions, applicable law, and professional obligations.
9. Subscriptions, automatic renewal, and cancellation
Automatic renewal. Paid subscriptions are billed in advance each month and renew automatically each month until you cancel. Before checkout, the app shows the plan, the price, the billing interval, and these renewal and cancellation terms and asks you to confirm them. Stripe processes payments.
Cancel online at any time. In the app, open Account and choose Cancel Subscription (or Manage Billing). You do not need to email support to cancel. Cancellation stops future renewals and takes effect at the end of the current paid billing period. The user may continue using the subscription through that date. Unused credits already in the user's account remain available after cancellation. No refund or prorated refund is provided for subscription fees or unused credits, except where required by applicable law.
Price changes. We may change prices for future billing periods. We will notify subscribers before a price change applies to a renewing subscription, and you can cancel before it takes effect.
Refunds. Subscription fees and credit purchases are generally nonrefundable except where required by applicable law. Nothing in these Terms limits a refund right that applicable law gives you.
Taxes. Prices do not include taxes unless stated. Applicable taxes may be added at checkout.
10. Credits
AI-assisted actions use credits at the rates the app shows before you run them. Subscription credits are added each billing period and unused credits roll over; purchased credit packs do not expire while your account is open. Credits have no cash value and cannot be transferred or exchanged for cash, except where law requires. If an action fails to produce output, its credits are not charged. Canceling a subscription does not remove credits already in your account: purchased, subscription, promotional, and manually granted credits stay available.
11. Acceptable use
You may not: reverse engineer, resell, or sublicense the Services except where law permits; circumvent security, usage limits, or credit accounting; use the Services to break the law, court orders, or professional obligations; upload malware or attempt unauthorized access; misrepresent AI output as reviewed by a lawyer when it was not; or select Professional Mode without being a legal professional or working under one’s supervision.
12. Third-party services and updates
The Services rely on third parties, including payment, hosting, email delivery, sign-in, and AI providers, listed on the Subprocessors page. Their own terms may apply. The desktop app may download updates for security, compatibility, or features.
13. Lobrite intellectual property
Lobrite and its licensors own the Services, software, design, trademarks, and documentation, excluding User Content. Subject to these Terms, you receive a limited, revocable, non-exclusive, non-transferable license to use the Services for your lawful purposes.
14. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LOBRITE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, LEGAL SUFFICIENCY, CURRENTNESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOBRITE DOES NOT WARRANT THAT ANY DOCUMENT WILL BE ACCEPTED BY A COURT OR AGENCY, THAT ANY FILING OR SERVICE WILL SUCCEED, THAT YOU WILL OBTAIN ANY LEGAL OUTCOME, THAT PRIVILEGE OR CONFIDENTIALITY WILL BE PRESERVED, OR THAT THE SERVICES WILL BE AVAILABLE, UNINTERRUPTED, OR ERROR-FREE.
Some jurisdictions do not allow certain warranties to be disclaimed. Where that is the case, those disclaimers do not apply to you, and any warranty the law requires lasts only as long as the law requires.
15. Limitation of liability
Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOBRITE AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS. WHERE THE LAW ALLOWS, THIS INCLUDES DAMAGES FOR MISSED DEADLINES, SANCTIONS, ADVERSE RULINGS OR JUDGMENTS, LOSS OF CLAIMS OR DEFENSES, LOSS OF DATA, LOSS OF CONFIDENTIALITY OR PRIVILEGE, AND LOSS OF BUSINESS, PROFITS, GOODWILL, OR OPPORTUNITY, WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, AND EVEN IF LOBRITE WAS TOLD THOSE DAMAGES WERE POSSIBLE.
Liability cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOBRITE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF (1) THE AMOUNTS YOU PAID LOBRITE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (2) US$100.
Rights these limits do not affect. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. In particular, these Terms do not exclude or limit Lobrite’s liability for its own fraud, willful misconduct, or violation of law, or any other liability that applicable law does not allow to be excluded or limited, and they do not waive any consumer right that cannot be waived by contract.
16. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Lobrite Legal and its owners, affiliates, officers, employees, contractors, licensors, and service providers from and against third-party claims, demands, actions, proceedings, liabilities, damages, judgments, penalties, losses, costs, and reasonable attorneys’ fees arising out of or relating to:
- your User Content;
- documents or information you submit;
- filings or submissions you make;
- legal decisions you make;
- your misuse of the Services;
- your violation of any law, regulation, court order, protective order, or professional duty;
- your infringement or violation of another person’s rights;
- your breach of these Terms; or
- your use of output in a manner these Terms do not permit.
This obligation does not apply to the extent a claim arises from conduct for which indemnification cannot lawfully be required, or to the extent a claim is caused by Lobrite’s own fraud, willful misconduct, or breach of these Terms. This section covers claims brought by third parties; it does not require you to pay Lobrite for Lobrite’s own losses. Lobrite will tell you promptly about a claim covered by this section, may take part in the defense with counsel of its choice at its own expense, and you may not settle a claim in a way that imposes an obligation on Lobrite or admits fault on its behalf without Lobrite’s written consent.
17. Suspension and termination
You may stop using the Services and close your account at any time. We may suspend or end access for a material breach, a security or legal risk, or non-payment, with notice where reasonably possible. Provisions that by their nature should survive termination will survive.
18. Dispute resolution and binding individual arbitration
Please read this section carefully. It requires you and Lobrite to resolve most disputes through binding individual arbitration instead of in court, and it waives class, collective, consolidated, and representative proceedings, subject to the exceptions below. You may opt out within 30 days, as described in section 18.7.
18.1 Informal resolution first
Before starting an arbitration or court case, the party with a dispute must send the other a written notice describing the dispute and the relief requested. Send notices to Lobrite at legal@lobritelegal.com; Lobrite will send notices to the email address on your account. The parties will try in good faith to resolve the dispute informally for 30 days after the notice is received, unless emergency relief is appropriate or applicable law requires otherwise.
18.2 Binding individual arbitration
Except as provided in sections 18.5, 18.6, and 18.7, you and Lobrite Legal, LLC agree that any dispute, claim, or controversy arising out of or relating to the Services, these Terms, your account, billing or subscriptions, AI-generated output, or your use of the software will be resolved through binding individual arbitration instead of in court. There is no judge or jury in arbitration, and court review of an arbitration award is limited. The Federal Arbitration Act governs the interpretation and enforcement of this agreement to arbitrate.
18.3 Administrator, rules, and fees
The arbitration will be administered by the American Arbitration Association (AAA) under the AAA Consumer Arbitration Rules then in effect, available at www.adr.org. Where the applicable rules permit, the arbitration may take place by video, by telephone, on written submissions, or in person. Filing, administrative, and arbitrator fees and costs are allocated under the AAA consumer rules and applicable law. Nothing in these Terms imposes on a consumer any fee or cost that applicable law or the AAA rules prohibit.
18.4 Class, collective, consolidated, and representative waiver
To the maximum extent permitted by law, you and Lobrite agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. This waiver applies only to the extent permitted by law, and it does not affect any right that cannot lawfully be waived.
18.5 Public injunctive relief
Nothing in this section waives or limits any right to seek public injunctive relief to the extent that such a right cannot lawfully be waived or required to be resolved exclusively in individual arbitration.
18.6 Small claims and other exceptions
Either party may bring an eligible individual claim in small claims court instead of arbitration. This agreement to arbitrate also does not apply to claims or remedies that applicable law does not allow to be compelled to arbitration.
18.7 Your right to opt out within 30 days
You may opt out of this agreement to arbitrate by emailing legal@lobritelegal.com within 30 days after you first accept the version of these Terms that contains it. Your email must include your full name, the email address of your Lobrite account, and a clear statement that you opt out of arbitration. Opting out affects only this agreement to arbitrate; the rest of these Terms remains in effect.
18.8 Severability
If any part of this section 18 is found unenforceable, that part will be severed to the maximum extent permitted by law, and the remainder of this section will remain in effect where lawful. Severance will never eliminate a right to seek public injunctive relief that cannot lawfully be waived.
18.9 Governing law and court venue
Except that the Federal Arbitration Act governs the agreement to arbitrate in this section 18, these Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. For any dispute that is not subject to arbitration, small claims court, or another forum that applicable law requires, you and Lobrite agree to the jurisdiction and venue of the state and federal courts located in Orange County, California, subject to any nonwaivable consumer right to bring or defend a claim elsewhere.
Consumer rights. Nothing in these Terms limits rights you have as a consumer that cannot be waived or limited by contract under the law where you live.
19. Changes to these Terms
When we make a material change, we post the new version with a new version number and effective date, and the app asks you to review and accept it before you continue using AI-assisted actions or purchases. Your earlier acceptances stay on record.
